You may be asked to sign a new Franchise Agreement with materially different terms and conditions than your original Franchise Agreement.

Transfer ConditionsNo transfer is allowed without our consent, which we will not unreasonably withhold. Conditions include: our decision not to exercise our right of first refusal; transferee meets our then-current standards for qualifying franchisees; transferee signs our then-current form of Franchise Agreement, which may have materially different terms from your Franchise Agreement; transferee successfully completes our Initial Training Program; you have paid us and third-party creditors all amounts owed; you and the transferee sign a General Release; you shall subordinate any claims you have against the transferee to us; you will indemnify us for misrepresentations in the transfer process (excluding representations in our FDD); our approval of the material terms and conditions of the transfer; payment of a transfer fee.
Termination for CauseWe may terminate only if you default. The Franchise Agreement describes defaults throughout. Please read it carefully. Curable defaults have 5 days to cure (except for non-curable defaults). Non-curable defaults include: insolvency, bankruptcy, falsifying reports, ceasing operations for 5+ days, loss of premises possession (unless relocating), failure to restore premises after casualty, failure to comply with laws, default under lease, understatement of Gross Revenue 2+ times, failure to comply with insurance/indemnification, unauthorized transfer, failure to transfer upon death/disability, misrepresentation in application, felony conviction or damaging conduct, adverse judgment for fraud/racketeering, concealing revenues/false books, public health/safety threat, refusal of inspection/audit, unauthorized use of Marks/Confidential Info, failure to comply with non-compete, 3+ defaults during term or 2+ default notices in 12-month period, insufficient funds 2+ times in 12-month period, default under other agreements with franchisor/affiliate, or termination without cause.

Participation DetailsThe Franchise Agreement requires that you personally supervise, devote full time, and manage the day-to-day operation of your Franchised Business. You may not appoint a non-owner manager of your Franchised Business, unless you receive our prior written approval. Your manager must devote full time to the job and cannot have an interest or business relationship with any of our competitors. If you would like us to consider another item or supplier, you must make such request in writing to us and have the supplier give us samples of its product or service and such other information that we may require. If the item and/or supplier meet our specifications, as we determine in our sole discretion, we will approve it as an additional item or supplier. We reserve the right to revoke approval of any item or supplier that does not continue to meet our then-current standards. Our criteria for approving items and suppliers are not available to you.
