DescriptionFranchisees are granted the right to distribute branded products ('Products') and authorized to sell other products ('Authorized Products') within a defined Territory. The Distributor owns Distribution Rights to sell and distribute Products to Customer Locations within the Territory, but not outside it. The Territory specifically excludes warehouse programs, micro-fulfillment centers, and e-commerce customers. The franchisor reserves the right to solicit and service drop delivery accounts, sell products through retail thrift operations, discontinue selling products, add/delete Authorized Products, repurchase Distribution Rights if independent distributors cease to be used in the market area, and distribute trademarks not listed on Exhibit B. Approval is conditioned on the sale being bona fide, for legitimate business purposes, compliant with laws, and the prospective purchaser being fully qualified to meet all obligations, including operating as a corporation per Section 2.10. COMPANY's right of approval expires if not exercised within 30 days of notice and evaluation. The distributor must settle all outstanding accounts, liens, and debts with COMPANY prior to transfer, unless waived by COMPANY. A general release of claims is required from both parties upon transfer.
Termination for CauseCOMPANY may terminate upon 24 hours' written notice for non-curable breaches (criminal activity, threat to public health/safety, violent activity, violations of law, substantial harm to business/trademarks/reputation, inability to service Chain accounts, failure to maintain insurance, dissolution of corporate status, or Owner failing to maintain majority ownership). For curable breaches, COMPANY must give 10 business days' written notice to cure. Two or more violations within 6 months, or three or more within 12 months, even if cured, constitute chronic failure and grounds for immediate termination.

DescriptionFLOFIN (Flowers Finance, LLC) will finance up to 90% of the initial franchise fee for qualified distributors. A minimum 10% down payment is required. The annual interest rate is currently 12.1677%. Principal is due in equal weekly installments for up to ten (10) years, deducted via weekly settlement. FLOFIN is granted a first priority security interest in the Distribution Rights, all other rights under the Distributor Agreement, all Products and Authorized Products in your possession (existing and future), and all insurance proceeds related to the Collateral.
