Transfer ConditionsFrisson Espresso Franchise receives a transfer fee equal to $10,000 plus any broker fees and other out-of-pocket costs incurred by Frisson Espresso Franchise; the proposed assignee and its owners have completed Frisson Espresso Franchise’s franchise application processes, meet Frisson Espresso Franchise’s then-applicable standards for new franchisees, and have been approved by Frisson Espresso Franchise as franchisees; the proposed assignee is not a Competitor; the proposed assignee executes Frisson Espresso Franchise’s then-current form of franchise agreement and any related documents, which form may contain materially different provisions than this Agreement (provided, however, that the proposed assignee will not be required to pay an initial franchise fee); all owners of the proposed assignee provide a guaranty in accordance with Section 2.5; Franchisee has paid all monetary obligations to Frisson Espresso Franchise and its affiliates, and to any lessor, vendor, supplier, or lender to the Business, and Franchisee is not otherwise in default or breach of this Agreement or of any other obligation owed to Frisson Espresso Franchise or its affiliates; the proposed assignee and its owners and employees undergo such training as Frisson Espresso Franchise may require; Franchisee, its Owners, and the transferee and its owners execute a general release of Frisson Espresso Franchise in a form satisfactory to Frisson Espresso Franchise; and the Business fully complies with all of Frisson Espresso Franchise’s most recent System Standards.
Termination for CauseNon-payment by you (10 days to cure); violate franchise agreement other than non-curable default (30 days to cure); operate in a manner dangerous to health or safety (48 hours to cure). Non-curable defaults include misrepresentation, false reports, bankruptcy, failure to open, loss of location, material violation of certain sections, abandonment, slander, refusal to cooperate, significant danger to health/safety, repeated defaults, termination of other agreements, felony conviction, acts affecting brand.
Non-Compete PeriodDuring the term of this Agreement and for two years after expiration or termination.
Non-Compete DetailsDuring the term of this Agreement, neither Franchisee, any Owner, nor any spouse of an Owner shall directly or indirectly have any ownership interest in, lend money or provide financial assistance to, provide any services to, or be employed by, any Competitor. For two years after this Agreement expires or is terminated for any reason (or, if applicable, for two years after a Transfer), no Restricted Party shall directly or indirectly have any ownership interest in, lend money or provide financial assistance to, provide any services to, or be employed by, any Competitor within five miles of Franchisee’s Territory or the territory of any other Frisson Espresso business operating on the date of termination or transfer, as applicable. If this Agreement is terminated before the Territory is determined, then the area of non-competition will the Development Area and the territory of any other Frisson Espresso business operating on the date of termination.

You must designate one person as your “Principal Executive”. The Principal Executive is the executive primarily responsible for your business and has decision-making authority on behalf of the business. The Principal Executive must complete any post-opening training programs that we develop in the future.
