Franchisor can terminate with 30-day cure period for substantial non-compliance with agreement/manual, including: employee criminal offense not adversely affecting system (DUI/DWAI excluded), employee disclosure of confidential information, continued violation of law/ordinance/rule for 5 days after notice, misuse/unauthorized use of Marks, uncompleted transfer due to death/incapacity, engaging in confusingly similar business, failure to comply with duties/covenants, failure to submit reports, failure to attend mandatory training, failure to maintain standards/procedures/System/Image/Marks, failure to maintain location/equipment, or making sales outside territory.
Non-Compete PeriodDuring the term of the agreement and any renewal period, and for a continuous, uninterrupted period of 5 years after expiration or termination of the agreement or transfer of rights.
