DescriptionFranchisees are granted a non-exclusive, geographic Franchised Territory. The franchisor retains all rights not expressly granted, including the right to use and franchise others to use the System and Marks within and outside the territory, and to develop other proprietary marks. The franchisor and its affiliates may compete with the franchisee within the territory, including through company-owned outlets, other franchisees, and alternative distribution methods like the Internet. There are no restrictions on accepting reservations from outside the territory, but soliciting outside the territory requires prior written consent. If additional locations are required, they will be noted in Attachment A of the Franchise Agreement.

Franchisor must have a continuing program for the conduct and operation of a Franchised Business and be offering new franchises.

Transfer ConditionsFranchisee must be in full compliance with all agreements, current in all ascertainable obligations, demonstrate a bona fide written offer, and the proposed transferee must meet franchisor's standards and qualifications. The transferee must execute a new franchise agreement and ancillary agreements. Franchisor has a right of first refusal.
Termination for CauseFranchisor may terminate for cause, including failure to pay monies due (30 days notice), failure to maintain insurance (10 days notice), failure to comply with pricing (30 days notice), unauthorized use of Marks (30 days notice), failure to comply with other agreement provisions (30 days notice), or failure to furnish access for inspections (3 days notice).
